1. Acceptance of Terms

By accessing or using Upplix, you confirm that you are at least 13 years of age, that you have read and understood these Terms, and that you agree to be legally bound by them. If you are under 18, you represent that your parent or guardian has reviewed and agreed to these Terms on your behalf. If you are accessing Upplix on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Use of the App

You agree to use Upplix only for lawful purposes and in accordance with these Terms. You must not: use the app in any way that violates applicable local, national, or international laws or regulations; attempt to gain unauthorized access to any part of the service or its infrastructure; transmit spam, malware, or other harmful code; impersonate any person or entity; or engage in any conduct that could damage, disable, or impair the app or interfere with other users' enjoyment of it.

3. Accounts and Registration

To access certain features you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. Notify us immediately at support@upplix.com if you suspect any unauthorized use of your account. Upplix reserves the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions and Payments

Upplix offers both free and paid subscription plans. Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law or as stated in our refund policy. By subscribing, you authorize us to charge your chosen payment method for all fees incurred. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period and you will retain access until then. We reserve the right to change pricing with reasonable advance notice.

5. Free Trial

We may offer a free trial period for paid subscription plans. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial expires. You will not be charged during the trial period. We reserve the right to modify or discontinue free trial offers at any time.

6. Intellectual Property

All content, features, and functionality of Upplix — including but not limited to text, graphics, logos, icons, interface design, and underlying software — are the exclusive property of Upplix and its licensors and are protected by intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any part of the app without our prior written permission. Nothing in these Terms transfers any intellectual property rights to you.

7. User Content

You retain ownership of any content you create or submit within Upplix, such as custom habit names, routine descriptions, and personal notes. By submitting content, you grant Upplix a non-exclusive, worldwide, royalty-free license to store and process that content solely to operate and improve our services. You are responsible for ensuring your content does not infringe third-party rights, violate any laws, or contain harmful, offensive, or misleading material. We reserve the right to remove content that violates these Terms.

8. Privacy

Your use of Upplix is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the app, you consent to the collection and use of your information as described in the Privacy Policy. Please review it carefully at upplix.com/privacy.

9. Disclaimers

Upplix is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the app will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. Your use of the app is entirely at your own risk.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Upplix and its officers, directors, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of or inability to use the app. Our total aggregate liability for any claims under these Terms shall not exceed the greater of $100 USD or the total fees you paid to Upplix in the 12 months preceding the claim.

11. Termination

We reserve the right to suspend or terminate your access to Upplix at our sole discretion, with or without notice, for conduct that violates these Terms, is harmful to other users or the service, or for any other reason we deem appropriate. You may also terminate your account at any time through the app settings. Upon termination, your right to use the app ceases immediately and we may delete your account data in accordance with our Privacy Policy.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Upplix operates, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or your use of the app shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

13. Changes to These Terms

We may revise these Terms of Service at any time. We will notify you of significant changes by updating the "Last updated" date at the top of this page and, where appropriate, providing an in-app notice. Your continued use of Upplix after any changes are published constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the app.
